1. Acceptance of Terms

By accessing or using the RestoIQ platform at myrestoiq.com or app.myrestoiq.com ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using RestoIQ on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree to these Terms, do not use our Service. We reserve the right to update these Terms at any time with notice to you.

2. Description of Service

RestoIQ is an AI-powered restaurant management platform that provides tools including but not limited to:

• Inventory management and tracking
• Food waste logging and analytics
• AI demand forecasting and ordering recommendations
• Staff performance tracking by shift and individual
• Supplier price monitoring and fraud alerts
• Multi-location management dashboard
• Menu engineering and profitability analysis
• Purchase order management
• Profit audit reports and analytics

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to subscribers.

3. Account Registration

To use RestoIQ, you must create an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access to your account
• Ensuring all information you provide is accurate and up to date

You may not share your account credentials with others or create accounts on behalf of other parties without authorization. Each subscription covers one restaurant account unless you are on a multi-location plan.

4. Subscription and Payment

RestoIQ offers the following subscription plans:

• Starter: $49/month — 1 location, core features
• Growth: $99/month — AI forecasting, staff performance, advanced analytics
• Pro: $199/month — Multi-location, supplier alerts, custom reports
• Enterprise: $399/month — Unlimited locations, API access, dedicated support

All plans include a 14-day free trial with no credit card required. After the trial period, continued use requires a paid subscription. Payments are processed securely by Paddle. Subscriptions automatically renew each billing period unless cancelled before the renewal date.

Prices are in US Dollars. We reserve the right to change pricing with 30 days advance notice to existing subscribers.

5. Free Trial

New accounts receive a 14-day free trial with access to all features of the Growth plan. No credit card is required to start a trial. At the end of the trial period, you will need to select a paid plan to continue using the Service. Your data is preserved during the trial and after subscription.

6. Acceptable Use

You agree to use RestoIQ only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Interfere with or disrupt the integrity or performance of the Service
• Upload, transmit, or distribute malicious code or harmful content
• Use automated means to access the Service without our written consent
• Reverse engineer, decompile, or attempt to extract source code from the platform
• Use the Service to compete with RestoIQ or build a competing product
• Share login credentials or resell access to the Service

7. Intellectual Property

RestoIQ and all its content, features, and functionality — including but not limited to the software, algorithms, design, text, graphics, and logos — are owned by RestoIQ and protected by intellectual property laws.

You retain ownership of all data you input into the platform, including your inventory, recipes, staff information, and financial data. By using our Service, you grant us a limited license to process this data solely for the purpose of providing and improving the Service.

8. AI-Generated Content and Recommendations

RestoIQ uses artificial intelligence to generate forecasts, recommendations, and insights. You acknowledge that:

• AI recommendations are provided for informational purposes and should be verified before acting on them
• RestoIQ does not guarantee the accuracy of AI-generated forecasts or recommendations
• Business decisions remain your sole responsibility regardless of AI recommendations provided
• AI performance improves over time as more data is entered into the system

9. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. You represent that any data you enter into RestoIQ is accurate and that you have the right to provide it to us.

10. Limitation of Liability

To the maximum extent permitted by applicable law, RestoIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to RestoIQ in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, uninterrupted, or completely secure, though we make every reasonable effort to ensure reliability and uptime.

12. Termination

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity of the violation.

Upon termination, your data will be retained for 90 days and then permanently deleted, consistent with our Privacy Policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable international commercial law. Any disputes shall first be attempted to be resolved through direct negotiation. If resolution cannot be reached, disputes shall be subject to binding arbitration.
